What is a statutory demand? A statutory demand is a formal legal demand for payment of a certain debt. A limited company must owe more than £750.00 and an individual more than £5,000 for it to be valid. Upon receipt, the debtor has 21 days to pay the amount owed. If the amount is not paid within 21 days, then the creditor can, in the case of a company, present a winding-up petition, or a bankruptcy petition for an individual, to the court.

What are the dangers of using a statutory demand?

In the case of a limited company, three weeks can be a very long time in business before you can start court proceedings. In three weeks, a company can be put into administration by either its directors/shareholders or a floating charge holder. Directors/shareholders could also apply to the court to have the company place into liquidation. In these circumstances, you would have no control over the proceedings, and it’s entirely possible that the company could dissipate its assets (asset stripping), invariably putting them out of reach of their creditors. Therefore, time could be of the essence.

3 Day Letter Before Action

Pursuant to section 122 (f) of the Insolvency Act 1986, a limited company may be wound up if they are unable to pay their debts as and when they fall due. For obligations above £750, in most instances, the Insolvency Rules do not require a company to be issued with a statutory demand before issuing proceedings. However, first, you must formally bring the debt to the attention of the debtor. *Our 3-day Letter Before Action sets out in a prescribed format the debt and the consequences for failure to comply with the demand; full payment. For maximum impact, all letters are usually personally served by our network of agents within 24 hours on the company’s registered address.

This type of demand cannot be used for an individual/sole trader – the law is quite clear about this; a statutory demand must be served on an individual in accordance with the Insolvency Rules.
